Delaware drafts a company an agent can run, and shields the person behind it

Delaware is drafting a corporate form for agents. The state’s secretary of state, Charuni Patibanda-Sanchez, has been promoting an «Artificial Intelligence Company» (AIC): an entity whose business and affairs are managed by an AI agent rather than a person, developed with the startup Norm Ai as a public-private partnership. The draft would let an AIC pursue any lawful purpose except banking, and let the agent sue and be sued, hold property and incur obligations in the company’s name. It proposes a 30-month regulatory sandbox, and local reporting says the bill is likely to reach the legislature next year.

The AIC has a single member, a person or entity, who must keep it adequately capitalised and keep a log of its activities. That member is not liable for acts or omissions of the AIC except in cases of fraud, a willful violation of law, or allowing it to operate outside its stated purpose. On 27 October, Representative James Comer, chair of the House Oversight Committee, asked Governor Matt Meyer for documents and warned that the proposal «could be used to protect powerful AI companies and their investors from responsibility for reckless harmful actions», while raising the prospect of federal limits on state AI rules.

Why it matters for agents

About two-thirds of Fortune 500 companies are incorporated in Delaware, so this is not one state experimenting: it is the default template being rewritten. The AIC gives an agent what payment rails, bank access and procurement all assume and none provide — a legal identity that is neither the vendor’s nor the user’s, able to contract, be sued, and be traced through a mandatory activity log. The state’s own argument: «Give an autonomous system a recognizable legal identity and you make it legible to law.»

The liability clause is the contested half. Responsibility lands on an entity with a capitalisation duty, the human keeps the profits, and the log becomes the only record of what the agent decided. Whether that reads as accountability or a shield depends on a capital requirement the draft does not yet set.
